Product · Document AI

Sign, negotiate & track every agreement — with proof.

DocQuill is a multi-tenant, ESIGN/UETA-compliant agreement platform, layered into an intelligence overlay for your whole document corpus. It runs on the BYO trio — your documents, your cloud, your model — and never takes custody of your files.

The challenge

The agreement layer is broken.

Every business runs on agreements — yet the layer that should sign, track and make sense of them is scattered, siloed, and locked out of the AI that could finally read it.

Renewals leak revenue

Missed renewals are the #1 source of contract revenue leakage — part of the $2 trillion/yr "Agreement Trap" quantified by DocuSign + Deloitte. When notice windows pass unnoticed, auto-renewals and price-resets fire on the counterparty's terms, not yours.

Compliance runs on spreadsheets

A mid-size agency tracks 50–500+ vendor COIs — cleaners, pool, electricians — each with its own expiry. One lapsed certificate is an uninsured-liability event, and a spreadsheet won't email you before it happens.

Documents everywhere, intelligence nowhere

Your contracts already live in SharePoint, Box, Drive, Dropbox and S3. Getting insight out of them today means exporting, re-uploading and re-platforming into yet another silo — so most teams never do.

Custody fears block AI

Legal and security won't let sensitive documents leave the perimeter to feed someone else's cloud or model. So the corpus stays dark, and the AI that could read it never gets the chance.

The approach

You bring the docs. We bring the intelligence.

DocQuill is an overlay, not another repository. It reads documents in place, runs on the AI you already trust, and returns structured intelligence — while the bytes never leave your control. That's the "BYO trio," and it's non-negotiable.

BYO Documents

Files stay where they are — SharePoint, Box, Drive, Dropbox, on-prem, S3. DocQuill reads in place and stores pointers plus extracted facts, never the raw bytes.

BYO Cloud

For enterprise, the connector runs inside your cloud — Azure, AWS, GCP or on-prem. Our control plane sees only structured intelligence outputs.

BYO Model

Pick the LLM you trust — Azure OpenAI, Anthropic, Bedrock, Vertex, or self-hosted. The SMB default is our hosted Claude; high-security teams keep inference on-prem.

Inside the product

The agreement engine — shipped and running.

DocQuill is multi-tenant and module-based: every tenant turns modules on and off. Two engines are shipped today — the agreement engine (signing, negotiation, COIs, renewals, audit) and the exit-prep Workbench (Rooms, gap analysis, Interrogation Tools). Here's what's inside.

Live

eSign & templates

Reusable templates with six field types (signature, initial, date, name, text, checkbox) and logic-driven field groups. A 3-step send wizard with parallel or sequential signing, privacy flags for PII, strict-fields enforcement and expiring links.

Live

Audit trail & compliance

An append-only log of every event, and the four ESIGN/UETA pillars enforced in code: intent, consent, association and recordkeeping. Each executed PDF carries a tamper-evident SHA-256 — re-hash the file and any change shows.

Live

Renewal tracking

Set a renewal date on any agreement and a cron fires reminders at T-30 / T-7 / T-1 — colour-coded from informational to urgent — so notice windows never pass unnoticed again.

Templates & the field editor

Upload a PDF, then drag the six field types — signature, initial, date, name, text, checkbox — onto the page and assign each to a signer. Fields are colour-coded per signer (signer 1 indigo, signer 2 red), and field groups enforce logic like "check exactly one." A three-step wizard — Choose your document → Place fields → Send options — handles parallel or sequential signing, privacy flags and strict-field enforcement.

Vendor COI tracking

A purpose-built certificate-of-insurance tracker: structured metadata (coverage type, amount, insurer, policy #, effective and expiry dates), a compliance dashboard, and liability-aware reminder emails. Expiry auto-flips a COI to expired via the same renewal cron — no spreadsheet, no manual chase.

Cross-org negotiation rooms

Redline a document with a counterparty clause by clause — they join by magic link, no account required. Every proposal, accept, reject and counter is logged with actor and timestamp. A version diff shows insertions and deletions; a drift report measures how far the live draft has moved from your standard template. When both sides agree, the "Send for signing" breadcrumb — the terminal step of the negotiation — seals it into a signature flow, with the entire negotiation timeline stamped into the audit certificate.

Workspace & AI Companion

Upload your MSAs, playbooks and compliance policies to a workspace; DocQuill chunks and embeds them for semantic search. The Companion — powered by Claude Sonnet — answers inside a negotiation or submission and cites the exact document and passage it drew from. Empty workspace? It says so, rather than guessing. Every query is scoped to your organization by strict multi-tenant isolation.

Does this draft deviate from our usual indemnification clause?
Yes — your standard MSA caps counterparty liability at "fees paid in the prior 12 months." This draft removes that cap entirely. Recommend restoring the limit before signature.◇ workspace · MSA_Template_v2.docx §9

The exit-prep Workbench

Point a Room at your SharePoint or Box and DocQuill syncs the documents in place, runs gap analysis against an 87-item M&A checklist, and executes cross-corpus Interrogation Tools — renewal-cliff ARR exposure, indemnification-cap audits, revenue concentration — surfacing the numbers a buyer will ask for. Each Room moves through a phase machine (discover → gap analysis → curating → validating → locked); when it locks, the Room becomes the data room. Shipped today; the final VDR-lock step is in build.

The overlay

One corpus, six lenses.

The signing and Agreement-Trap engine is live. The rest of the intelligence overlay reads the same connected corpus through five more lenses — each in active build against real pilot use cases.

LivePillar 01

eSign

Execute documents with an ESIGN/UETA-compliant audit certificate. The entry wedge — and a standalone module that competes with DocuSign directly.

LivePillar 02

Negotiation + Agreement Trap

Per-clause redlining, renewal crons, COI tracking, obligation extraction and drift detection across the whole book of agreements.

In buildPillar 03

VDR + Deal Intelligence

The diligence Workbench — Rooms, gap analysis and Interrogation Tools — is shipping in pilot with a design partner. The final lock-to-VDR with Buyer Groups and AI-assisted Q&A drafting is in build.

In buildPillar 04

Compliance Intelligence

Auto-generate SOC 2, HIPAA, GDPR and SEC evidence packets straight from the connected corpus — no manual evidence hunts.

In buildPillar 05

Discovery Intelligence

Legal hold, semantic search and redaction-aware production for subpoenas and regulatory requests — across documents that never move.

In buildPillar 06

Portfolio Intelligence

Aggregated, anonymized cross-corpus patterns (k-anonymity ≥ 50): "your auto-renew terms are looser than 80% of peers." A data moat that compounds.

Who it's for

Built for the people who live in documents.

DocQuill runs three named verticals on one platform. Here's who it's for, the pain each one feels, and the use case DocQuill solves.

STR property management
The agency operator

The challenge

A mid-size STR agency runs 500–5,000 active agreements — owner contracts, cleaner and vendor terms, guest waivers — with renewals and vendor COIs slipping through the cracks across multiple states.

How DocQuill helps

eSign + the Agreement Trap engine: owner-agreement templates, a vendor COI dashboard with auto-expiry, and T-30/T-7/T-1 renewal reminders on every contract.

Use case — Agreement Trap for STR
B2B SaaS · exit prep
The CFO preparing to sell

The challenge

Getting acquired means assembling a clean, buyer-ready data room from documents scattered across the whole company — under time pressure and buyer scrutiny.

How DocQuill helps

A Workbench Room syncs documents in place, runs gap analysis against an 87-item M&A checklist and Interrogation Tools that surface ARR-at-risk and indemnification exposure. Shipping today in pilot with a design partner; the VDR-lock step is in build.

Use case — Deal-room workbench
Professional services
The consulting / accounting firm

The challenge

MSAs, SOWs, NDAs and engagement letters pile up with no visibility into obligations, auto-renewals or which terms drifted from the standard playbook.

How DocQuill helps

Negotiation rooms with per-clause redlining and a drift report, plus the Claude Companion grounded on the firm's own playbooks to flag non-standard terms before signature.

Use case — Negotiation + drift report
Private equity · family office
The multi-deal investor

The challenge

Running diligence across many deals and portfolio companies at once — with sensitive documents that can't be centralized into a vendor's cloud.

How DocQuill helps

Scoped VDR sharing per buyer group, plus cross-corpus benchmarks showing how a target's terms compare against the rest of the portfolio. (In build.)

Use case — VDR + Portfolio Intelligence
Regulated industries
The compliance lead

The challenge

Audits demand evidence — SOC 2, HIPAA, GDPR, SEC — pulled together by hand from documents spread across a dozen systems, every single cycle.

How DocQuill helps

Compliance Intelligence auto-assembles evidence packets from the connected corpus, backed by the append-only, tamper-evident audit trail. (In build.)

Use case — Compliance Intelligence
Developers · SaaS embedders
The product team

The challenge

You need e-signature inside your own product, without paying enterprise per-seat pricing or bolting on a heavy incumbent.

How DocQuill helps

A flat, developer-first eSign API with a generous free tier — so signing becomes a feature you ship, not a vendor you resell. (In build.)

Use case — eSign API
